The information and materials contained on our website and published quotations are accurate to the best of our knowledge; however, the information and materials may include technical inaccuracies, typographical errors, or inconsistencies. Moreover, all prices and information contained in this site are subject to change without notice. Intella Parts Company LLC (“Intella”), a Michigan-based company doing business in Canada, disclaims all liability for damages that may be caused by the use of this site and disclaims all warranties, express or implied.

Legal Entity

All sales and services in Canada are conducted by Intella Parts Company LLC, a U.S. limited liability company based in Michigan, doing business in Canada as Intella Parts (“Intella”).

All sales to Canadian customers are fulfilled and invoiced by Intella Parts Company LLC in compliance with applicable Canadian consumer protection and tax laws, including GST/HST and provincial sales tax where required.

By purchasing from Intella, you acknowledge that the transaction is with a U.S. entity authorized to operate in Canada, and that warranty and return services are provided in accordance with these terms and Canadian regulations.


TERMS, POLICIES & PRICES

Special Order Items:

Items marked as “special order” will have a lead time associated with them and are not cancellable once ordered. To get an exact lead time, please call, text, or chat online. Selecting next-day or two-day air shipping will not reduce the manufacturing lead time; it only determines the shipping method once the order is ready to leave our facility. Special-order items are non-returnable. Please review our return policy below.

Pictures:

All pictures on our website are for reference only. Pictures of products may not be reproduced or copied without written permission from Intella. The photographs are representative of the product type but may not depict the exact part being shipped.

Acceptance:

All orders are subject to approval and acceptance by Intella Parts Company LLC. The following terms and conditions apply to all orders and may change without notice. Intella reserves the right to cancel accepted orders when circumstances beyond its control (including, but not limited to, supply chain disruptions, transportation delays, natural disasters, or labor issues) prevent timely delivery.

Prices:

Prices are subject to change without notice. Unless otherwise stated, all prices are in Canadian dollars (CAD) and exclude applicable GST/HST and provincial taxes.

Payment Terms:

Net 30 days with approved credit. Payments with credit or debit cards are accepted only at the time of purchase. Payment of open balances with cards is not permitted.

Past Due Accounts:

All unpaid balances are subject to a 1.5% monthly finance charge (18% per annum) or the maximum rate allowed by Canadian law. Overdue accounts may be sent to collections, and customers will be responsible for recovery and legal fees.


LIMITATION OF LIABILITY

INTELLA SHALL NOT IN ANY CASE BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR OTHER SIMILAR DAMAGES ARISING FROM BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY, EVEN IF INTELLA OR ITS AGENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This means INTELLA is not responsible for any costs incurred due to lost profits, lost revenue, or business interruption. Some provinces do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.


TAX

The purchaser is responsible for all federal and provincial taxes, including GST/HST, PST, or QST, as applicable. Taxes are calculated at checkout and remitted in accordance with Canadian law. Purchaser agrees to reimburse INTELLA for any such taxes, duties, or fees incurred in connection with the sale of products.


WAIVER

No failure by INTELLA to insist on strict compliance with any term or condition shall constitute a waiver of such term or condition, and INTELLA reserves the right to enforce the same.


APPLICABLE LAW / EXCLUSIVE JURISDICTION

These terms and conditions, and all sales made to Canadian customers, shall be governed by and interpreted under the laws of the Province of Ontario and the laws of Canada applicable therein.

The courts of Ottawa, Ontario, shall have sole and exclusive jurisdiction to hear disputes regarding these terms and conditions unless INTELLA expressly agrees to another forum.


WARRANTY

  1. Intella Parts Company LLC warrants products sold by it to be free of manufacturing defects in material or workmanship for a period of six (6) months from the date of installation.
  2. Our obligation under this warranty is limited to replacing or repairing any part that proves to be defective under normal use and service.
  3. This warranty does not apply to products damaged by contamination, tampering, negligent handling, misapplication, or misuse.
  4. Intella Parts Company LLC is not responsible for labor costs related to diagnosing, removing, or reinstalling parts, nor for travel time or service call expenses.
  5. Parts are designed only for use on forklifts and aerial lifts for which they were intended. Using parts on other equipment voids the warranty.

To make a warranty claim, products must be returned with proper documentation as outlined in the Parts Return Policy, including proof of installation and removal dates with hour meter readings.

THE FOREGOING WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. INTELLA SHALL NOT BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.


FLEXIFLIPPER LIMITED WARRANTY

Intella Parts Company LLC is the authorized distributor for FlexiFlippers. Industria Algecireña de Mecanizados y Reparaciones S.L. (“Inamer”) warrants all FlexiFlipper products for one (1) year from the delivery date against manufacturing or material defects.

The warranty is void if:

  • Installation and usage guidelines in the manual are not followed.
  • The product or any related part is modified without written approval from Inamer.
  • The serial number is altered, removed, or unreadable.
  • The product is transferred from the original purchaser to another party.

The warranty covers material and manufacturing defects only. Normal wear, improper storage, or misuse are not covered.

To obtain warranty service, contact Intella to authorize return and inspection. Approved warranty claims will be repaired or replaced at no cost, and shipping expenses will be reimbursed.


INTELLA ACTUATOR WARRANTY

  1. Seller warrants that the buyer will receive products free from defects in material and workmanship for twelve (12) months from shipment, provided that:
    1. The product was installed and used according to specifications.
    2. No unauthorized repairs or alterations have been made.
    3. The product was not misapplied or used negligently.
  2. THERE ARE NO OTHER WARRANTIES BEYOND THOSE CONTAINED HEREIN. No oral or written statement inconsistent with this warranty is binding. No employee or representative is authorized to extend or amend this warranty except in writing by an officer of the Seller.
  3. This warranty is made in lieu of all other warranties, expressed or implied, including merchantability or fitness for purpose.
  4. Seller’s liability is limited to repair or replacement of the defective part, and in no event shall it exceed the purchase price. Consequential or incidental damages are excluded.

Return Terms:

  • All electrical parts and components are non-returnable.
  • Return authorization is mandatory before sending any product back.
  • Returns must be requested within 7 days of delivery and received within 7 days of authorization.
  • A 25% restocking fee applies to eligible returns.
  • Shipping damage must be reported immediately to the carrier; packaging must be retained for inspection.
  • Paint, opened gasket sets, and installed parts are non-returnable.
  • Refunds on shipping will be issued only when Intella ships the wrong item.
